Code of Conduct for Directors and Senior Management
Ethical principles governing the conduct of directors, KMP and senior management, under SEBI LODR Schedule V.
Principles
Honesty and integrity in every decision; loyalty to the company; fair dealings with customers, suppliers and competitors; avoidance of conflicts of interest; compliance with applicable laws; and the protection of confidential information.
Conflict of interest
Directors and senior management are expected to avoid any situation where their personal interest may conflict with the company's interest. Any potential conflict is to be disclosed in writing to the Board immediately.
Use of company assets
Company assets — tangible and intangible — are used solely for legitimate business purposes; never for personal benefit or for any unlawful activity.
Annual affirmation
Directors and senior management are required to affirm compliance with this Code annually; the affirmation is reported in the Corporate Governance section of the Annual Report.
